Home annex — European Economic Area (EEA)

    Effective 2026-10-13

This Annex applies if you are established in a member state of the European Economic Area (EEA). It forms part of your Organizer Agreement with Entase. Terms defined there have the same meaning here.

Section 8 automatically replaces the provisions it names if you are a body governed by public law — a state, a region, a municipality, a public university, a state or municipal cultural institution, or a comparable public body. You do not need to negotiate it and you do not sign it.

    1. The Entase entity you are contracting with

Your counterparty under the Organizer Agreement is:

    Entase, Inc.
Address for correspondence: 9450 SW Gemini Dr PMB 47339, Beaverton, OR 97008, USA

This is the entity meant by "Entase", "we", "us" and "our" in the Organizer Agreement and in this Annex — the definition of Entase in clause 2 of that Agreement. That entity is the only party to your agreement on the Entase side, and the only one that owes you obligations under it. If that entity changes, clause 18.3 of the Organizer Agreement applies: at least 30 days' notice, the new entity takes on everything owed to you including your Settlement Wallet balance, the previous entity stays liable for that balance until it is paid, and you may leave before the change takes effect.

    2. Governing law and disputes

2.1 The Organizer Agreement, this Annex and any Schedule you accept are governed by the law of Ireland, excluding its conflict-of-law rules.

2.2 The courts of Ireland have exclusive jurisdiction over any dispute arising out of or in connection with them, except that we may also bring proceedings against you in the courts of the place where you are established.

2.3 Clause 2.1 does not affect any mandatory rule of the Event Territory concerning consumer protection, taxation or the recording of sales.

2.4 Clauses 2.1 and 2.2 do not apply to a body governed by public law — see section 8.

    3. Regulatory basis of the arrangement

3.1 The arrangement in clause 5 of the Organizer Agreement is a commercial agency. You authorise us, by agreement, to negotiate and conclude the sale of Tickets on your behalf, and to receive payment for them on your behalf. We act on behalf of the payee only, never on behalf of the payer.

3.2 Accordingly, payment transactions from a Buyer to you through us fall within the exclusion in Article 3(b) of Directive (EU) 2015/2366 and the corresponding provision of the national law implementing it in your member state.

3.3 We do not provide payment services to you or to Buyers, do not operate a payment account, and do not issue electronic money. Your Settlement Wallet is a record of what we hold for you, payable to one destination only — your own verified registered bank account.

3.4 Payment of the Ticket price to us discharges the Buyer's obligation to you in full at the moment of receipt, under clause 5.5 of the Organizer Agreement. That is a term of our agreement with you and it is stated to Buyers on the Ticket and in the confirmation we send them.

    4. Platform-to-Business Regulation

We are a provider of online intermediation services within the meaning of Regulation (EU) 2019/1150, and you are a business user. The following applies.

4.1 Availability. The Organizer Agreement, this Annex, the Acceptable Use Policy, the Box Office Terms, the Co-hosted Events Terms, the Fee Schedule and every Schedule are published at stable URLs and are readable without an account, at every stage of our relationship including before you contract with us. What changed in each version is in the changelog linked at the head of each document.

4.2 Restriction, suspension and termination. The grounds are set out in clause 12.2 of the Organizer Agreement and in the Acceptable Use Policy. You will receive a statement of the specific reasons whenever we restrict, suspend or terminate, and you may put facts to us and ask us to reconsider.

4.3 Distribution channels and affiliate programmes. Clause 5.8 of the Organizer Agreement describes every additional channel and partner programme through which your Tickets may be offered, and the basis on which each operates. Entase operates no distribution channel or affiliate programme other than those described there. Affiliate participation is off unless you switch it on for a particular Event.

4.4 Intellectual property. Clause 14 of the Organizer Agreement sets out the effect of our agreement on the ownership and control of your intellectual property. In summary: your content and marks stay yours, and you give us a licence to use them to market and sell Tickets for your Events.

4.5 Catalogue and ranking. Your Events appear in our catalogue once we verify, at your request, that your profile is complete and your Events are described accurately and in enough detail. Search results are ordered by how closely each Event matches the search. Elsewhere in the catalogue, Events nearest to the visitor come first, and the home page groups them by category, starting with the categories that have the most Events. We order Events this way to show each visitor the most relevant ones first. We do not accept payment to influence ranking.

4.6 Changes. Clause 16 of the Organizer Agreement sets out how we change these terms, the notice we give, and your right to terminate before a change takes effect.

4.7 Data access. Clause 13.5 of the Organizer Agreement describes the technical and contractual access you have to data during our relationship and after it ends.

4.8 Complaints and mediation. Articles 11 and 12 of Regulation (EU) 2019/1150 do not apply to providers below the size threshold those Articles set by reference to Commission Recommendation 2003/361/EC, and they do not currently apply to Entase. We are therefore not obliged to operate a formal internal complaint-handling system or to name mediators. We still want to hear from you: complaints go to complaints@entase.com and we respond within 10 days. If those Articles begin to apply to us, we will put a compliant system in place and tell you.

    5. Tax

5.1 Fees are exclusive of value added tax.

5.2 Where you are a taxable person established in a member state other than ours, our supply of services to you is taxable where you are established and you account for the tax under the reverse charge. You must give us a valid VAT identification number, or other evidence satisfactory to us that you are a taxable person.

5.3 You warrant that you hold every registration required for you to receive services from a supplier not established in your member state and to account for tax on them, and that you will complete whatever registration, self-assessment, reporting and record-keeping your own law requires of you in connection with our supply to you. We do not advise on this and you should take your own advice.

5.4 Every tax, levy and charge arising from your Events and your Ticket sales is yours, including value added tax on admission in the Event Territory, and including the recording and documentation of sales required by the law of the Event Territory. We are not responsible for it and give no advice on it.

5.5 United States information reporting. We are a United States payer. Before your first payout you must give us a completed and signed IRS Form W-8BEN-E (or the form appropriate to your entity type) establishing that you are not a United States person. The form is generally valid until the end of the third calendar year following signature, and we will ask you to renew it. We may withhold payout until we hold a valid form, and may withhold tax where United States law requires it.

    6. Data protection

6.1 Regulation (EU) 2016/679 (GDPR) applies. For the sale of Tickets you are the controller and we are your processor; the Data Processing Agreement applies and includes standard contractual clauses.

6.2 For our own purposes we are an independent controller, as described in our Privacy Policy.

6.3 How to reach us about data protection. Write to privacy@entase.com. We answer data protection questions and requests directly, and this is the fastest route.

    7. Consumer law

7.1 The Terms of Sale — European Economic Area (EEA) apply to Tickets for Events in the EEA. Where an Event takes place elsewhere, Entase displays the Terms of Sale for that Event under clause 5.3.1 of the Organizer Agreement.

7.2 You remain responsible for meeting consumer law obligations that fall on you as the seller, including the information you must give before a contract is concluded, refunds on cancellation, and any right of withdrawal that applies to the product you are selling. Where you sell something that is not admission to an event on a specific date or in a specific period, a 14-day right of withdrawal may apply and you must tell us so that the correct Terms of Sale are shown.

    8. Public entities

8.1 When this section applies. This section applies, and takes precedence over the rest of this Annex and over the Organizer Agreement to the extent of any conflict, if you are a body governed by public law — a state, a region, a province, a municipality, a public university or school, a state or municipal theatre, opera, museum, library or other public cultural institution, or another entity established to meet needs in the general interest and financed or controlled by such a body. No negotiation is required — it applies automatically. Tell us at onboarding that you are a public entity so that we record it.

8.2 Governing law and jurisdiction. Clauses 2.1 and 2.2 do not apply. The Organizer Agreement, this Annex and any Schedule you accept are governed by the law of your own member state, and any dispute will be brought in the courts of the place where you are established.

8.3 Indemnification. Clause 15.7 of the Organizer Agreement does not apply. Each party is responsible for the acts and omissions of itself and its staff to the extent its law provides, and neither indemnifies the other. Nothing in the Organizer Agreement obliges you to give an indemnity your law or your budget rules do not permit you to give.

8.4 Limitation of liability. Clauses 15.1, 15.2, 15.5 and 15.8 of the Organizer Agreement do not apply to limit your rights against us. They continue to apply to limit our liability only so far as your law permits. Clauses 15.3 and 15.4 continue to apply in full — in particular, nothing limits our obligation to pay you the amounts recorded in your Settlement Wallet.

8.5 Payment and appropriation. Your obligation to pay Fees is subject to the appropriation of funds for the relevant budget period. No provision accelerates payment on default.

8.6 Termination where funds are not appropriated. You may terminate the Organizer Agreement on 30 days' written notice if funds are not appropriated for it in a budget period. Clause 17.4 of the Organizer Agreement (run-off) still applies, so Events already on sale are delivered and settled.

8.7 Assignment and set-off. Clause 18.3 of the Organizer Agreement does not limit your rights of set-off or counterclaim against us or against anyone we transfer the Agreement to.

8.8 Transparency, records and publication. Nothing you accept from us restricts you from complying with a duty to publish your contracts, to disclose their terms, or to answer a request under access-to-information law. This includes the confidentiality obligation in a Pricing Agreement, which yields to any such duty. We will provide records reasonably required for your audit, public-procurement or transparency obligations, at no charge.

8.9 Renewal. Nothing renews automatically against you. Where a document you have accepted provides for automatic renewal, renewal instead requires your affirmative election.

8.10 Invoicing. Tell us at onboarding if your law requires invoices to you in a particular electronic format or through a particular channel. We will tell you plainly whether we can issue them that way, rather than leave the question open, so that you can decide whether to proceed.

8.11 Insurance. We will provide a certificate of insurance on request where we carry the relevant coverage. Where we do not carry a coverage you require, we will tell you plainly rather than leave the question open.

    9. Complaints about this annex

Write to legal@entase.com. If we cannot resolve your complaint, clause 2.2 applies.
