    Organizer agreement

    Effective 2026-10-13

    1. About this agreement

    1.1 This Agreement governs your use of the Entase platform. It is an agreement between the organization that accepts it ("Organizer", "you") and the applicable Entase entity specified in clause 2 (Definitions) ("Entase", "we", "us", "our").

    1.2 Your agreement with us is made up of:

    • this Organizer Agreement;
    • the Home Annex for the country in which you are established;
    • the Acceptable Use Policy;
    • the Box Office Terms;
    • the Co-hosted Events Terms;
    • the Fee Schedule;
    • your Pricing Agreement, if you have one; and
    • any Schedule you have separately accepted.

    1.3 If they conflict, this order applies, highest first: your Home Annex, then any Schedule you have accepted, then this Organizer Agreement, then the Acceptable Use Policy, the Box Office Terms, the Co-hosted Events Terms and the Fee Schedule. A Pricing Agreement prevails over the Fee Schedule and over nothing else.

    1.4 Accepting a Schedule creates a new arrangement between you and us. It is not a change to this Agreement.

    2. Definitions

    Acceptable Use Policy — Entase's published policy on what may be sold through the Platform and how, as amended under clause 16.

    Account Balance — the running balance recorded for you in your Settlement Wallet. It may be positive or negative.

    Account Record — the record Entase generates of your account details and of the documents and versions you have accepted. It states facts; it contains no terms and is not part of this Agreement.

    Anytime Event — an Event admitting a Buyer at any time within a period, rather than at a fixed date and time. Attractions, theme parks and open-period entry are typical.

    Box Office Terms — Entase's published terms for selling Tickets in person at your own box office, as amended under clause 16.

    Buyer — a person who buys a Ticket.

    Co-hosted Events Terms — Entase's published terms for Events created by one Organizer where another is entitled to the proceeds, as amended under clause 16. They have effect only where you create or are designated on such an Event.

    Entase — the Entase entity named in your Home Annex as your counterparty, and recorded in your Account Record. That entity is the only party to this Agreement on the Entase side, and the only one that owes you obligations under it. Entase may change that entity under clause 16; clause 18.3 says what happens to you if Entase does.

    Event — an event you publish through the Platform.

    Event Territory — the country in which an Event takes place.

    Fee Schedule — Entase's published price list, as amended under clause 16.

    Fees — everything payable by you to Entase: the commission and fixed charge on each payment, the fixed charge per payout, and any recurring, subscription, usage-based or other charge set out in the Fee Schedule, a Pricing Agreement or a Schedule.

    Home Annex — the annex that applies to you by reference to where you are established. It identifies the Entase entity that is your counterparty, the legal basis of the arrangement in clause 5 in your jurisdiction, the tax documentation you must provide, and the governing law.

    Pending Amount — an amount recorded in your Settlement Wallet that has not yet fallen due under clause 6.4.

    Platform — the Entase software, websites, applications and interfaces, including entase.com.

    Pricing Agreement — a document Entase and you accept where your rates differ from the Fee Schedule. It varies the Fee Schedule and nothing else.

    Protocol — the statement Entase generates under clause 7.2 recording payments, refunds and Fees for an Event.

    Schedule — an optional module of this Agreement covering a particular feature, which applies only if you accept it.

    Scheduled Event — an Event taking place at a fixed date and time, or over a fixed period. Everything that is not an Anytime Event.

    Selling Organizer — for each Event, the single Organizer in whose name and for whose account Entase concludes Ticket sales, and to whom the proceeds belong. See clause 4.3.

    Settlement Wallet — a record of amounts Entase has collected on your behalf. See clause 6.

    Terms of Sale — the terms between you and a Buyer for a Ticket, published by Entase for the region in which the Event takes place and shown to the Buyer before payment. See clause 5.3.1.

    Ticket — a right of admission to, or access to, an Event, sold through the Platform, in whatever form it is delivered, such as a printed or electronic ticket, a booking, a seat or a link.

    3. Your account

    3.1 You may use the Platform only for purposes relating to your trade, business, craft or profession, whether you are a company, another organization or an individual. The person who accepts this Agreement must be authorised to bind you.

    3.2 You must give us accurate information about your identity, your legal form, your beneficial owners, your bank account and your tax status, and keep it up to date. We verify this information before your first payout and may re-verify at any time.

    3.3 You are responsible for everything done through your account, including by your staff. Keep credentials secure and tell us promptly if you think they have been compromised.

    3.4 We may screen you and your payout counterparties against applicable sanctions lists at onboarding and whenever your details change.

    3.5 You may not assign or transfer your account or this Agreement without our written consent, not to be unreasonably withheld.

    4. Your events

    4.1 You decide everything commercial about your Events: whether they happen, when and where, the price and categories of Ticket, the seating, the concessions offered, your refund policy, and whether an Event is cancelled, rescheduled or relocated. We do not. Those decisions are yours, subject to the standards you have accepted in this Agreement and the Acceptable Use Policy.

    4.2 You must enter and maintain accurate information about each Event in the Platform — including its status. Cancellation, rescheduling and relocation must be recorded in the Platform, because that is what triggers notification to Buyers. Recording them elsewhere does not.

    4.3 Selling Organizer. Each Event has exactly one Selling Organizer, designated before the Event is published. Once the first Ticket is sold, the Selling Organizer cannot be changed. Where an Event is co-hosted, the Selling Organizer is the Organizer entitled to the proceeds — see the Co-hosted Events Terms.

    4.4 You are responsible for the Event: staging it, delivering what was advertised, dealing with Buyers, and meeting every legal obligation that applies to it. Entase is not a party to your contract with a Buyer.

    4.5 You must hold every licence, registration, permission and insurance that the Event requires in its Event Territory.

    4.6 What you sell decides the Buyer's withdrawal rights. In the EEA and the United Kingdom a consumer has no 14-day right of withdrawal for admission to a leisure event taking place on a specific date or in a specific period. That covers most of what is sold through Entase, and it applies even though the Ticket is sold through Entase as intermediary rather than by you directly.

    4.6.1 It does not cover vouchers, gift cards or open-dated passes; season or multi-entry passes with no specified date or period; on-demand or recorded content; or training, courses, conferences and professional events, which are generally not leisure activities at all. For any of these a 14-day right of withdrawal is likely to apply.

    4.6.2 Every Event type in the Platform is flagged as either dated leisure or other, and the Terms of Sale shown reflect that flag. If a flag is wrong for your Event, tell us before you publish. Selling an undated or non-leisure product under a "no withdrawal" term is an unfair commercial practice, and the exposure is yours.

    5. How Entase sells tickets for you

    5.1 Appointment. You appoint Entase, and Entase accepts appointment, as your agent to offer Tickets for your Events, to negotiate and conclude contracts for their sale in your name and for your account, and to receive payment of the Ticket price on your behalf.

    5.2 Entase exercises that authority through the Platform. Each Ticket contract is concluded between you and the Buyer. Entase is not the seller, and does not buy or resell Tickets.

    5.3 Entase will make your identity as Selling Organizer clearly visible to Buyers on the Event page and in the confirmation sent to the Buyer.

    5.3.1 Terms of Sale. Entase determines which Terms of Sale apply to a Ticket and displays them to the Buyer before payment, by reference to the Event and the Buyer. You do not select them.

    5.4 Entase may accept payment by any method available on the Platform, including card, digital wallets and local payment methods, through payment service providers that Entase selects.

    5.5 Payment to Entase discharges the Buyer. Payment of the Ticket price by a Buyer to Entase — including where made to a payment service provider acting on Entase's instruction and for Entase's account — is treated as payment made directly to you. It discharges the Buyer's obligation to you fully and finally at the moment the funds are received.

    5.5.1 A Buyer bears no risk of loss.

    5.5.2 You may not refuse admission, invalidate a Ticket, or ask a Buyer to pay again, on the ground that you have not received the corresponding funds from Entase.

    5.6 Entase acts for you only. Entase acts exclusively in your name and for your account. Entase does not act as agent, representative or trustee of any Buyer, and assumes no obligation to a Buyer in respect of an Event, its staging, quality, cancellation or rescheduling, or in respect of refunds. Your Home Annex identifies the legal basis on which this arrangement sits in your jurisdiction.

    5.7 Nothing in this Agreement makes either party the partner, employee or joint venturer of the other, and neither may bind the other except as this clause 5 expressly provides.

    5.8 Affiliate and partner distribution.

    5.8.1 Entase operates an affiliate programme through which third-party websites and applications may promote Events and generate Ticket sales.

    5.8.2 Participation is off by default. Entase will not enrol your Events in the affiliate programme, and no affiliate commission is payable by you, unless you choose to participate for a particular Event.

    5.8.3 Where you choose to participate, you set the additional commission you are prepared to pay on sales an affiliate generates for that Event. That commission is payable by you, is shown in your Protocol, and is in addition to the Fees.

    5.8.4 Events you publish are publicly visible, and may be linked to and promoted by anyone, including affiliates, whether or not you have set a commission. Where you have not set one, no commission is payable on any sale, however it arose.

    5.8.5 Where an affiliate generates a sale for your Event, Entase identifies that affiliate to you in your reporting.

    5.8.6 Entase may also appoint sub-agents and distribution partners to offer and sell Tickets on your behalf, on terms no less protective of you than this Agreement.

    5.9 Allocation to a third party. Where you accept a Schedule providing for it, you authorise Entase to collect a defined portion of the Ticket price on behalf of a named third party, as that party's agent, and to record it to that party rather than to you. Any such allocation is made at the point of collection. This clause has no effect unless you have accepted such a Schedule.

    6. Money

    6.1 The money is yours. Amounts Entase collects from Buyers for your Events belong to you from the moment they are received.

    6.2 Entase holds those amounts in a designated account, separate from Entase's own funds, and does not use them for Entase's own purposes or pledge or encumber them. Interest earned on the designated account, if any, belongs to Entase.

    6.3 Your Settlement Wallet. Your Settlement Wallet is a record of what Entase holds for you. It is not a payment account, it is not electronic money, and it holds no stored value. Amounts are payable to one destination only: your own verified registered bank account.

    6.4 When amounts fall due.

    6.4.1 For a Scheduled Event, amounts fall due and are released to your Settlement Wallet 48 hours after the end of the Event — not after it starts. For a multi-day Event this is 48 hours after the final day ends.

    6.4.2 For an Anytime Event, amounts fall due 10 minutes after the transaction, and are settled on a monthly cycle under clause 7.3.

    6.4.3 Until an amount falls due it is a Pending Amount. A Pending Amount is recorded for your information. It is not a debt owed by Entase and does not become one until it falls due.

    6.5 Why Entase holds funds. Holding funds until they fall due under clause 6.4 is not a condition of the Buyer's payment, which is discharged on receipt under clause 5.5. It is security for what you may owe Entase — Fees, chargebacks under clause 8, and refunds you are responsible for under clause 8.1. You may ask at any time for earlier release against alternative security acceptable to Entase.

    6.6 Payouts. You may request payout of your Account Balance to your verified registered bank account. Entase normally initiates the transfer within one business day of your request, and in any case no later than five business days after it. The Fee Schedule sets a fixed charge for each payout. Bank charges on the transfer are yours.

    6.7 Entase will not pay to any destination other than your own verified registered bank account, and will not act on an instruction to pay a third party.

    6.8 No stored value for Buyers. Entase does not issue or hold balances, credits, vouchers, points or other stored value in favour of Buyers. If an Event is cancelled, rescheduled or changed and a credit or voucher is offered, you issue it, in your own name.

    7. Fees and invoicing

    7.1 Our Fees are set out in the Fee Schedule. Where you have accepted a Pricing Agreement, its rates apply instead of the corresponding Fee Schedule rates, and the Fee Schedule continues to apply to everything that Pricing Agreement does not cover. Prices are not stated in this Agreement, so that a price change is a notice under clause 16 rather than a new contract.

    7.2 Protocol. For a Scheduled Event, we generate a Protocol 24 hours after the end of the Event, recording the payments received, any refunds, and the Fees due. Either party may object to a Protocol by email within one day of it being generated. After that it is treated as agreed.

    7.3 Invoice. We issue an invoice from the Protocol 24 hours later — 48 hours after the end of the Event — and amounts fall due to your Settlement Wallet at the same time. For Anytime Events, we generate a Protocol and issue an invoice monthly.

    7.4 Protocols and invoices follow this cycle whether or not an Event took place. A cancelled Event for which payments were made still produces a Protocol and an invoice. Fees are earned when a payment is made. A later refund, for whatever reason, does not reduce them, unless the refund is needed because of our error — see section 4 of the Fee Schedule. Where no payment was made for an Event, no Protocol and no invoice are issued — we do not issue zero-value documents.

    7.5 Negative balances. Your Account Balance may become negative — most commonly where you refund Buyers for a cancelled Event after Fees have been charged. A negative Account Balance is a debt due from you to Entase. It is set off automatically against amounts later recorded to your Settlement Wallet.

    7.6 Set-off. We may apply amounts recorded in your Settlement Wallet against any sum due from you under this Agreement or any Schedule, including Fees, chargebacks and refunds you are responsible for.

    7.7 Payment. An invoice not cleared by set-off is payable within 14 days.

    7.8 Taxes. Fees are exclusive of tax. Each party is responsible for its own taxes. You are responsible for every tax, levy and charge arising from your Events and your Ticket sales, including registering where required and issuing whatever documentation the law of the Event Territory requires. Your Home Annex sets out what tax documentation you must give us, and we may withhold payout, or withhold tax where the law requires it, until you have given it.

    8. Refunds, cancellations and chargebacks

    8.1 Refunds are yours to make and yours to fund. If you cancel, reschedule or relocate an Event, you must record it in the Platform promptly, and you must offer Buyers what the law of the Event Territory, your own terms and the Acceptable Use Policy require. You must initiate refunds within 7 days of recording a cancellation, and within the same period of a Buyer's request where the Acceptable Use Policy entitles that Buyer to a refund.

    8.2 We may hold amounts in your Settlement Wallet, and prompt you to complete the refund process, when you record a cancellation, rescheduling or relocation.

    8.3 Chargebacks. Where a card scheme, payment system or bank reverses a payment, that reversal is imposed on Entase involuntarily under the rules of that scheme or system. Entase effects it for your account and in your name. It is not a separate obligation of Entase to the Buyer and creates no relationship between Entase and the Buyer.

    8.4 Chargebacks you bear. You are liable to Entase for the amount of a chargeback, and the payment provider's fee for it, where the chargeback results from something you did or failed to do — including where:

    • the Event was cancelled, rescheduled or relocated, or was materially different from its description;
    • a refund due to the Buyer was not made;
    • you breached this Agreement, the Acceptable Use Policy or the Terms of Sale; or
    • you did not give us, within the time we asked, information we needed to defend the chargeback.

    We may recover it by set-off under clause 7.6.

    8.5 Chargebacks we bear. In any other case — such as fraudulent use of a card, or a Buyer disputing a payment for an Event delivered as described — Entase bears the chargeback and the fee, and does not recover them from you. We defend chargebacks at our own cost, decide which case applies on the evidence, and tell you the reason.

    9. Admission

    9.1 A Buyer's Ticket is their fastest route to admission, and we advise Buyers to bring it.

    9.2 You must admit a Buyer whose booking can be verified from the personal data given at purchase — name, email address or telephone number — whether or not a Ticket is presented. We provide a tool for this at the door.

    9.3 Clause 9.2 does not apply to Tickets issued at a box office without those personal details, which cannot be verified this way. A holder of such a Ticket must present it.

    9.4 Where a Buyer bought a concession Ticket for a category such as student, child or senior, you may require evidence of that status at the door and may refuse admission or charge the difference if it is not produced. Say so in your own Event information.

    10. Your obligations

    10.1 Compliance. You will comply with all law applicable to you and your Events, with this Agreement, and with the Acceptable Use Policy.

    10.2 Holding Entase out. You will publicly state that Entase is authorised to sell Tickets for your Events and to receive payment for them on your behalf. Entase will supply wording for this on request. You will maintain that statement on your website, at your box offices and in your communications with Buyers about Ticket sales while this Agreement is in force, and tell Entase if you change your website or sales channels in a way that affects it.

    10.3 Your content. You are responsible for the event information, descriptions, images, marks and other content you supply, and you warrant that you have the right to use it and to let us use it under clause 14.2. Your Event information must be accurate and must not mislead a Buyer about who is performing, what they are buying, or from whom.

    10.4 Your Buyers. You will deal with Buyers fairly, promptly and in accordance with consumer law in the Event Territory.

    10.5 Documentation. You will give us the tax and verification documentation required by your Home Annex before your first payout, and keep it current.

    11. Entase's service

    11.1 We will provide the Platform with reasonable skill and care, and give you access to the functions your plan and accepted Schedules cover.

    11.2 We will maintain the records of your sales and Fees in the Platform and make them available through your account.

    11.3 We will provide reasonable support during our published support hours, and initial training on request.

    11.4 We do not warrant that the Platform will be uninterrupted or error-free, that it will be available at any particular time, or that it will meet your requirements. Availability figures we publish are targets, not contractual commitments, unless a Schedule or Pricing Agreement expressly states them as service levels.

    11.5 We may change, add to or withdraw features. Where a change materially reduces a function you rely on, clause 16 applies.

    12. Restriction, suspension and termination

    12.1 Entase talks to you first. Where we identify a problem, our normal first step is to contact you directly and give you the chance to fix it. Most issues end there.

    12.2 Grounds. We may restrict an Event, suspend your account, or terminate this Agreement where:

    • (a) Event information is false or misleading, including where a tribute, covers or similar act is presented so that a reasonable Buyer would understand it to be the original artist;
    • (b) an Event does not exist, or you cannot or do not intend to deliver it;
    • (c) you fail to keep Event status accurate in the Platform, so that Buyers are not notified of a cancellation, rescheduling or relocation;
    • (d) you fail to initiate refunds within the period in clause 8.1;
    • (e) you fail to deal with Buyers, or deal with them contrary to consumer law;
    • (f) you refuse admission contrary to clause 9.2;
    • (g) you have not accepted a change to this Agreement that has taken effect under clause 16;
    • (h) you have not provided documentation required under clause 10.5;
    • (i) you breach applicable law, this Agreement or the Acceptable Use Policy;
    • (j) we are required to act by law or by a payment service provider, card scheme or bank.

    12.3 Reasons. Whenever we restrict an Event or suspend your account we will give you a statement of the specific reasons, at the time or before, and tell you how to respond. You may put facts to us and we will reconsider. If we were wrong, we will reinstate you and restore access.

    12.4 Administrative suspension — your money is released. Where we suspend under clause 12.2(g) or (h) — you have not accepted updated terms, or not provided documentation — all amounts already due in your Settlement Wallet will be paid out to you. A dispute about paperwork is not a reason to hold your money.

    12.5 Integrity suspension — your money is held while we look. Where we suspend under clause 12.2(a), (b), (e), (f), (i) or (j), we may withhold settlement for up to 30 days while we investigate, in addition to the periods in clause 6.4. We may ask you for documents and information, and will release amounts we are satisfied are properly due to you.

    12.6 Refunds on integrity suspension. Where Entase reasonably determines that Ticket sales were procured by fraud or misrepresentation, were made in breach of the Acceptable Use Policy, or that you will not perform the Event, you irrevocably instruct Entase to refund the affected Buyers from amounts recorded in your Settlement Wallet, as your agent and in discharge of your own obligation to those Buyers. Entase will tell you before doing so wherever it is practicable.

    12.7 Termination by Entase. We may terminate this Agreement on 30 days' written notice with reasons. That notice period does not apply where we are required to terminate by law, where an imperative ground under applicable law applies, or where you have repeatedly infringed this Agreement or the Acceptable Use Policy.

    12.8 Termination by you. You may terminate under clause 17.

    13. Data protection

    13.1 For the sale of Tickets for your Events, you are the controller of Buyer personal data and Entase is your processor. The Data Processing Agreement applies and forms part of this Agreement.

    13.2 For Entase's own purposes — operating and securing the Platform, the events catalogue, fraud prevention, accounting and marketing — Entase is an independent controller. Entase's Privacy Policy explains that processing.

    13.3 Each party will comply with data protection law applicable to it. Your Home Annex identifies which regime applies to you and the representative arrangements we maintain.

    13.4 We list our sub-processors in an annex to the Data Processing Agreement and will tell you before adding or replacing one, so that you can object.

    13.5 On termination, you may export the event, sales and Buyer data associated with your account for 90 days. After that we delete it, except what we must retain by law, and except what is needed to deliver Events already on sale under clause 17.4.

    13.6 Platform intelligence and AI features. We may use data generated through the Platform to operate, secure and improve it, and to produce aggregated and anonymised analytics. Where we use third-party AI models to provide features to you, we will list those providers as sub-processors, and will not permit them to use your data or Buyer personal data to train their models unless you have expressly opted in. Outputs generated for you through such features are yours to use.

    14. Intellectual property

    14.1 The Platform, and all intellectual property in it, is and remains ours. We grant you a non-exclusive, non-transferable right to use it for the term of this Agreement, for your own Events. You may not copy, modify, adapt, reverse-engineer, resell or sublicense it, use it to build a competing product, or give access to anyone other than your staff and authorised representatives.

    14.2 Your content, marks and event information remain yours. You grant us a non-exclusive, royalty-free licence to use, reproduce, translate and display them for the purposes of marketing and selling Tickets for your Events, operating the Platform and providing the services under this Agreement, for the term of this Agreement and for a reasonable period afterwards for archival and reporting purposes.

    14.3 This Agreement does not transfer ownership of any intellectual property between the parties, and neither acquires rights in the other's marks beyond the limited licences above.

    15. Liability

    15.1 Subject to clause 15.3, our total aggregate liability to you arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total Fees you paid us in the 12 months immediately before the event giving rise to the claim.

    15.2 Where more than one claim arises from the same or a related set of circumstances, those claims are treated as a single claim for the purposes of clause 15.1.

    15.3 Nothing in this Agreement limits or excludes either party's liability for fraud or fraudulent misrepresentation, wilful misconduct or gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be limited or excluded.

    15.4 Amounts held for you are not limited by this clause. Nothing in this clause 15 limits or excludes Entase's obligation to pay or deliver amounts recorded in your Settlement Wallet. Those amounts are not a liability of Entase, and the cap in clause 15.1 has no application to them.

    15.5 Subject to clause 15.3, we are not liable to you for loss of profit, revenue or anticipated savings; loss of business, contracts or opportunity; loss of goodwill or reputation; loss or corruption of data except where caused by our failure to maintain the backup arrangements we describe to you; or any indirect or consequential loss — however arising and whether or not foreseeable.

    15.6 Force majeure. Neither party is liable for any failure or delay in performing its obligations caused by circumstances beyond its reasonable control. This includes the failure or unavailability of a third party on which the Platform depends, cyber attack, the act of a payment service provider, card scheme, bank or public authority, change of law, industrial action, natural disaster and epidemic.

    15.7 Your indemnity. You owe us compensation for all losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: the Event, its staging, cancellation, postponement or relocation; any claim by a Buyer relating to the Event or your performance; content, images, marks or event information you supplied; your breach of this Agreement, the Acceptable Use Policy or applicable law; any tax, levy or charge for which you are responsible; and any regulatory action arising from your own acts or omissions. Your obligations under this clause are not subject to the cap in clause 15.1.

    15.8 Time limit. You may not bring a claim under or in connection with this Agreement more than 12 months after the date you became, or ought reasonably to have become, aware of the circumstances giving rise to it.

    15.9 The remedies expressly set out in this Agreement are your sole remedies for the matters they address, and each party will take reasonable steps to mitigate any loss.

    16. Changes to this agreement

    16.1 We may change this Agreement, the Acceptable Use Policy, the Box Office Terms, the Co-hosted Events Terms and the Fee Schedule.

    16.2 We will notify you of a proposed change on a durable medium — by email and in your account — before it takes effect.

    16.3 Notice period. A change takes effect no earlier than 30 days after notification, or longer where the change requires you to make technical or commercial adaptations, in which case we will give you a period that is reasonable and proportionate to what is required of you.

    16.4 Your right to leave. You may terminate this Agreement at any time before a change takes effect. Termination takes effect within 15 days of your notice.

    16.5 Waiver. You may waive the notice period at any time, by accepting the change in your account or by another clear affirmative action. Where a longer period applies under clause 16.3 because the change requires significant technical adjustments on your part, submitting new Events is not by itself a waiver.

    16.6 If you do not accept. If a change has taken effect and you have not accepted it, we may suspend your account under clause 12.2(g) until you do. Clause 12.4 applies, so your money is released.

    16.7 No retroactive changes. We will not apply changes retroactively, except where the law requires it or where the change is to your benefit.

    16.8 Urgent changes. The notice period in clause 16.3 does not apply where we must change these terms to meet a legal or regulatory obligation on a timetable that does not allow it, or to deal with an unforeseen and imminent danger relating to fraud, malware, spam, data breach or another security risk.

    17. Term and ending this agreement

    17.1 This Agreement starts when you accept it and continues until it is ended under this clause. There is no minimum term.

    17.2 You may terminate on three months' written notice at any time, or at any time under clause 16.4 (a change of terms, which includes a change of the Entase entity under clause 18.3). You may also terminate immediately if we materially breach this Agreement and do not remedy it within 30 days of your written notice.

    17.3 We may terminate under clause 12.7.

    17.4 Run-off. Termination does not affect Events already on sale. Where Tickets have been sold for an Event taking place after termination, this Agreement continues to apply to that Event: Entase will continue to deliver those Tickets, hold and settle the proceeds, and provide the Platform functions needed for the Event, and you will continue to pay Fees on it. Everything else ends on the termination date.

    17.5 On termination we will settle amounts properly due to you, subject to clauses 7.6 and 12.5.

    17.6 Clauses 2, 5.5, 6.1, 7.5–7.8, 8.3–8.5, 13.5, 14, 15, 17.4–17.7 and 18 survive termination — including clause 18.3.1, so that an entity that has transferred this Agreement remains liable for your balance as that clause provides.

    17.7 You keep the data-export right in clause 13.5.

    18. General

    18.1 Notices. We give notice to you by email to the address on your account and in your account. You give notice to us at legal@entase.com.

    18.2 Which Entase entity you are contracting with. The full legal name, legal form, registered office and company number of the Entase entity that is your counterparty are set out in your Home Annex, and recorded against your account in your Account Record.

    18.3 Change of the Entase entity. We may transfer this Agreement, with our rights and our obligations under it, to another Entase entity, or in connection with a reorganisation, merger or sale of our business. We do so by notice under clause 16, so you get at least 30 days and may leave before it takes effect under clause 16.4.

    18.3.1 What you keep if the Entase entity changes. The entity you move to takes on everything owed to you under this Agreement — including the balance recorded in your Settlement Wallet and any prepaid balance under a Schedule. Nothing accrued to you is lost, reduced, delayed or restarted, and your Fees, your accepted Schedules, any Pricing Agreement and the term of this Agreement are unaffected. The entity you contracted with before remains liable to you for those balances, together with the new entity, until they are paid. That liability is not subject to the cap in clause 15.1.

    18.4 Entire agreement. The documents listed in clause 1.2 are the whole agreement between the parties on their subject matter and replace anything said or written before, including any earlier agreement covering the same subject matter. Nothing in this clause limits liability for fraud.

    18.5 Waiver. If we do not enforce a right, that is not a waiver of it.

    18.6 Severance. If a provision is held unenforceable, the rest continues in force.

    18.7 Third parties. Nobody other than you and Entase has any right to enforce this Agreement.

    18.8 Language. English governs this Agreement. We may provide translations for convenience; where a translation differs from the English, the English text applies.

    18.9 Governing law and disputes. These are set out in your Home Annex.
