This Annex applies if you are established in a country not covered by the European Economic Area (EEA), United States or United Kingdom Home Annexes. It forms part of your Organizer Agreement with Entase, and terms defined there have the same meaning here.
1. The Entase entity you are contracting with
Your counterparty under the Organizer Agreement is:

This is the entity meant by "Entase", "we", "us" and "our" in the Organizer Agreement and in this Annex — the definition of Entase in clause 2 of that Agreement. That entity is the only party to your agreement on the Entase side, and the only one that owes you obligations under it. If that entity changes, clause 18.3 of the Organizer Agreement applies: at least 30 days' notice, the new entity takes on everything owed to you including your Settlement Wallet balance, the previous entity stays liable for that balance until it is paid, and you may leave before the change takes effect.
2. Governing law and disputes
2.1 The Organizer Agreement, this Annex and any Schedule you accept are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
2.2 Arbitration. Any dispute arising out of or relating to them will be finally resolved by binding arbitration administered by the AAA International (ICDR) under its rules, before one arbitrator, seated in Wilmington, Delaware, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
2.3 We use arbitration here rather than courts for a practical reason: an arbitral award is enforceable in more than 170 states under the New York Convention, whereas a court judgment may not be enforceable where you are.
2.4 Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
3. Regulatory basis of the arrangement
3.1 The arrangement in clause 5 of the Organizer Agreement is an agency: you authorise us to conclude Ticket sales in your name and for your account and to receive payment on your behalf. We act for you only and never for a Buyer.
3.2 Payment of the Ticket price to us discharges the Buyer's obligation to you in full at the moment of receipt, under clause 5.5 of the Organizer Agreement.
3.3 We do not provide payment services to you or to Buyers, do not operate a payment account, and do not issue electronic money. Your Settlement Wallet is a record of what we hold for you, payable to one destination only — your own verified registered bank account.
4. Legal requirements in your country
4.1 You warrant that you may lawfully appoint Entase as your agent on the terms of the Organizer Agreement, and that you hold every licence, registration and permission you need to sell Tickets and stage Events.
4.2 You will tell us promptly if either ceases to be true.
4.3 If a requirement affects the arrangement. If we identify a legal requirement that affects how we may work with you, we will tell you. We may ask you to accept additional terms, suspend your account under clause 12.2(j) of the Organizer Agreement while the position is resolved, or terminate on 30 days' notice. Where we suspend for this reason, clause 12.4 applies and all amounts already due in your Settlement Wallet are paid out to you — a legal question of ours is not a reason to hold your money.
5. Tax
5.1 Fees are exclusive of tax. Each party is responsible for its own taxes.
5.2 Every tax, levy and charge arising from your Events and your Ticket sales is yours, including any tax on admission in the Event Territory and the recording and documentation of sales required there.
5.3 You will give us any tax documentation we reasonably require, including certification of your tax residence and, where applicable, exemption or treaty documentation. We may withhold payout, or withhold tax where the law requires it, until you do.
5.4 United States information reporting. We are a United States payer. Before your first payout you must give us a completed and signed IRS Form W-8BEN-E (or the form appropriate to your entity type) establishing that you are not a United States person. We may withhold payout until we hold a valid form, and may apply withholding where United States law requires it.
6. Data protection
6.1 The Data Processing Agreement applies to our processing of Buyer personal data on your behalf.
6.2 Where Buyers for your Events are in the European Economic Area or the United Kingdom, GDPR or UK GDPR applies to that processing and the corresponding provisions of the Data Processing Agreement apply, including the standard contractual clauses.
6.3 You are responsible for complying with data protection law applicable to you where you are established.
7. Sanctions
7.1 You warrant that neither you, nor anyone who owns or controls you, is subject to sanctions administered by the United States, the European Union, the United Kingdom or the United Nations, and that you are not established in a jurisdiction subject to comprehensive sanctions.
7.2 We screen at onboarding and when your details change. We will suspend or terminate immediately if this ceases to be true, and clause 12.2(j) of the Organizer Agreement applies.
