Home annex — United Kingdom
Effective 2026-10-13
This Annex applies if you are established in the United Kingdom. It forms part of your Organizer Agreement with Entase. Terms defined there have the same meaning here.
1. The Entase entity you are contracting with
Your counterparty under the Organizer Agreement is:
Entase, Inc.
Address for correspondence: 9450 SW Gemini Dr PMB 47339, Beaverton, OR 97008, USA
This is the entity meant by "Entase", "we", "us" and "our" in the Organizer Agreement and in this Annex — the definition of Entase in clause 2 of that Agreement. That entity is the only party to your agreement on the Entase side, and the only one that owes you obligations under it. If that entity changes, clause 18.3 of the Organizer Agreement applies: at least 30 days' notice, the new entity takes on everything owed to you including your Settlement Wallet balance, the previous entity stays liable for that balance until it is paid, and you may leave before the change takes effect.
2. Governing law and disputes
2.1 The Organizer Agreement, this Annex and any Schedule you accept are governed by the law of England and Wales.
2.2 The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them.
2.3 Clause 2.1 does not affect any mandatory rule of the Event Territory concerning consumer protection, taxation or the recording of sales.
3. Regulatory basis of the arrangement
3.1 The arrangement in clause 5 of the Organizer Agreement is a commercial agency. You authorise us, by agreement, to negotiate and conclude the sale of Tickets on your behalf and to receive payment for them on your behalf. We act on behalf of the payee only, never on behalf of the payer.
3.2 Accordingly, payment transactions from a Buyer to you through us fall within the exclusion in paragraph 2(b) of Part 2 of Schedule 1 to the Payment Services Regulations 2017.
3.3 Payment of the Ticket price to us discharges the Buyer's obligation to you in full at the moment of receipt, under clause 5.5 of the Organizer Agreement. Funds are not held subject to any condition in the Buyer's favour; the periods in clause 6.4 operate as security for what you may owe us, as clause 6.5 explains.
3.4 We do not provide payment services to you or to Buyers, do not operate a payment account, and do not issue electronic money. Your Settlement Wallet is a record of what we hold for you, payable to one destination only — your own verified registered bank account.
4. Online intermediation services
Regulation (EU) 2019/1150 as it forms part of the law of the United Kingdom applies to our relationship with you, and is enforced under the Online Intermediation Services for Business Users (Enforcement) Regulations 2020. Section 4 of the EEA Home Annex applies equally here, with these references: complaints to complaints@entase.com; distribution channels and affiliate programmes as described in clause 5.8 of the Organizer Agreement. The internal complaint-handling and mediation obligations do not apply to providers below the size threshold those provisions set, and do not currently apply to Entase; we still respond to complaints within 10 days.
5. Tax
5.1 Fees are exclusive of value added tax.
5.2 Where you are a UK taxable person, our supply of services to you is treated as made where you belong and you account for VAT under the reverse charge. You must give us a valid UK VAT registration number or other evidence satisfactory to us that you are in business.
5.3 Every tax, levy and charge arising from your Events and your Ticket sales is yours, including VAT on admission in the Event Territory and the recording and documentation of sales required there.
5.4 United States information reporting. We are a United States payer. Before your first payout you must give us a completed and signed IRS Form W-8BEN-E (or the form appropriate to your entity type) establishing that you are not a United States person. The form is generally valid until the end of the third calendar year following signature and we will ask you to renew it. We may withhold payout until we hold a valid form.
6. Data protection
6.1 The UK GDPR and the Data Protection Act 2018 apply. For the sale of Tickets you are the controller and we are your processor; the Data Processing Agreement applies, including the UK International Data Transfer Addendum where relevant.
6.2 For our own purposes we are an independent controller, as described in our Privacy Policy.
6.3 Transfers. Where personal data is transferred out of the United Kingdom we rely on the International Data Transfer Agreement or the UK Addendum to the EU standard contractual clauses, supported by a transfer risk assessment.
7. Pricing and consumer law
7.1 All-in pricing. We display the total price a Buyer will pay, including every mandatory fee, from the first point at which a price is shown. This meets the price transparency requirements of the Digital Markets, Competition and Consumers Act 2024, which prohibits revealing mandatory charges late in the purchase process.
7.2 You must not advertise a price for your Event elsewhere that excludes mandatory fees, and you must not require us to display one.
7.3 The Terms of Sale — United Kingdom apply to Tickets for Events in the United Kingdom, under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
7.4 You remain responsible for the consumer law obligations that fall on you as seller, including pre-contract information, refunds on cancellation, and any right to cancel that applies to what you are selling. Where you sell something that is not admission to an event on a specific date or in a specific period, a 14-day right to cancel may apply and you must tell us so that the correct Terms of Sale are shown.
